This course will concern itself with the central legal issues related to private equity investing, a major asset class within the Canadian economy. The primary objective of the course is to is to provide students with a practical introduction to the legal and transaction skills and tools used in the private equity arena. Topics to be covered include the history of private equity in the US and Canada, the globalization of the private equity industry, fund structure and formation, advanced and best practices in private equity including use of representation and warranty insurance in transactions, management incentive programs and value creation by private equity funds post-acquisition.
