This course is designed to provide an overview of investment banking. Key areas it will cover include: capital raising, valuation methodologies, mergers & acquisitions and an overview of other corporate restructurings such as leverage buyouts. The capital raising portion of the course will cover major capital raising options and considerations. This will include a discussion of the opportunities and challenges of raising capital globally. Capital raising techniques and considerations discussed will include: public equity capital markets, private equity markets, public debt capital markets, domestic and international bank markets as well as regulatory, tax and other considerations. The valuation portion of the course will provide an overview of the three main valuation techniques utilized by investment banks today: discounted cash flow analysis, comparable public company analysis and comparable private market transaction analysis. The pros and cons of each of these methodologies will be discussed as well as their appropriateness. The M&A portion of the course will discuss the motivations behind corporate acquisitions and divestitures, the strategic and tactical options typically utilized in these transactions, an overview of the mechanics of an M&A transaction as well as various issues typically considered.
