Students will be introduced to the practice of mergers and acquisitions including the process and documentation involved. Students will learn in class about the components of an agreement applicable to the purchase and sale of a privately held business and how those components function, not only in agreements for the purchase and sale of a business, but in business contracts generally. The course will build on concepts learned in contract law and will be a bridge from contract law in theory to contract law in practice. In addition to covering the purchase and sale of privately held businesses, this course will also cover, at a high level, take-over bids (i.e., transactions involving the acquisition of shares issued by public companies), plans of arrangement (i.e., court approved transactions involving the acquisition of shares or assets of public companies) and amalgamations (i.e., transactions involving the combination two corporations under a statutory process).
